1. Acceptance of Terms

These Terms of Service ("Terms") establish a binding agreement between you ("Client", "you") and Crestline Provisions Group ("Company", "we", "us") governing your access to and use of the website order-littlecaesar.us.com (the "Website") and our meal coordination services ("Services"). By using the Website or Services, you signify your acceptance of these Terms in full.

2. Nature of Services

Crestline Provisions Group operates as an independent third-party food coordination and event logistics company. Our Services include, but are not limited to:

• Serving as an intermediary between clients and local pizza franchise operators
• Coordinating high-volume food orders for corporate functions, educational programs, nonprofit events, and private gatherings
• Managing delivery scheduling, order accuracy verification, and vendor communication
• Providing fundraising support, campaign planning, and post-event reporting

We are not a restaurant, food manufacturer, delivery platform, or franchise of any pizza brand. We operate solely as an independent event coordination firm.

3. Fee Structure

Revenue for our Services is generated as follows:

• Coordination Fee: A fixed fee determined by the scope and complexity of your event, clearly disclosed in your quote prior to any commitment.
• Food Costs: Passed through at the franchise's standard published pricing. We do not apply any markup to food items.
• Expedited Orders: Orders placed with fewer than 3 business days of lead time may incur a supplemental rush processing fee.
• Cancellation Policy: Cancellations received more than 48 hours before the scheduled event qualify for a full refund. Cancellations within the 48-hour window may be subject to a fee of up to 50% of the coordination charge.

All fees are denominated in Canadian Dollars (CAD) and are subject to applicable taxes (GST/HST).

4. Third-Party Trademark Disclaimer

Crestline Provisions Group is not affiliated with, endorsed by, or sponsored by Little Caesar Enterprises, Inc. Little Caesars® is a registered trademark of Little Caesar Enterprises, Inc. Any reference to Little Caesars or associated brands on this Website is made solely for informational purposes, to indicate franchise locations with which we may coordinate orders on the Client's behalf.

We do not represent any franchise entity, and franchise participation in order fulfillment is subject to their individual discretion and availability.

5. Client Responsibilities

In connection with your use of our Services, you agree to:

• Supply accurate, complete, and current information in all communications and forms
• Respond to coordination team inquiries and clarification requests in a timely manner
• Arrange for an authorized representative to be present at the delivery site to receive the order
• Disclose all dietary restrictions, food allergies, and special requirements at the time of ordering
• Use the Website and Services exclusively for lawful purposes

6. Order Lifecycle

1. Quote Request: You provide event details via our online form or direct communication.
2. Proposal Delivery: We return a detailed, itemized proposal within 1 business day.
3. Order Confirmation: You confirm the order by accepting the proposal and submitting payment information.
4. Vendor Coordination: Our team places, monitors, and manages the order with the appropriate franchise location.
5. Delivery & Handoff: Food is delivered to the specified address at the agreed-upon time, with accuracy verified before handoff.

7. Payment Terms

• Payment is required at the time of order confirmation unless otherwise agreed in writing
• Accepted methods include major credit cards, ACH transfer, and corporate invoicing for qualifying organizations
• Qualifying business accounts may apply for NET-15 or NET-30 payment terms upon credit review
• All invoices include applicable tax identification information

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• We shall not be held liable for delays, errors, product quality issues, or shortages attributable to the franchise location fulfilling the order.
• Our aggregate liability for any claim arising from or related to a specific order shall not exceed the coordination fee paid for that order.
• We disclaim liability for indirect, incidental, special, consequential, or punitive damages of any kind.

Notwithstanding the above, we will make commercially reasonable efforts to resolve any service issues, including direct liaison with the vendor on your behalf.

9. Intellectual Property

All original content on this Website — including text, graphic design, layout, logos (excluding third-party trademarks), and software — is the intellectual property of Crestline Provisions Group and is protected by applicable Canadian copyright and intellectual property laws. Reproduction, distribution, or creation of derivative works without our prior written authorization is prohibited.

10. Privacy

Your use of the Website is also subject to our Privacy Policy, which details how we collect, process, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or related to these Terms or the Services shall be resolved in the courts of the Province of Ontario, Canada.

12. Amendments

We reserve the right to modify, amend, or replace these Terms at any time. Updated Terms become effective upon posting to the Website. Your continued use of the Website or Services following any amendment constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
